End-User License Agreement (EULA)

This End-User License Agreement (EULA) is a legal agreement between you (the "User") and NextGPU ("NextGPU," "we," "us," or "our"), governing your use of the NextGPU Platform as either a Provider (renting out GPU computing resources) or a Consumer (renting GPU resources for computing tasks).

By accessing or using NextGPU, you agree to be bound by this EULA. If you do not agree, you must discontinue use immediately.


1. Definitions

  • Provider: A user who makes their personal computing power (PPC) available for rent through NextGPU.
  • Consumer: A user who rents computing power from Providers through NextGPU.
  • PPC (Provider's Personal Computer): The hardware owned by a Provider that is made available for rent.
  • NGPU Tokens: The digital currency used for transactions within the NextGPU platform.
  • NGPU Agent: A Java-based application installed on Provider's hardware to monitor and manage system usage.

2. License Grant & Restrictions

2.1 License to Use

  • NextGPU grants you a limited, non-exclusive, non-transferable, and revocable license to use the platform in accordance with this EULA.
  • This license is granted solely for enabling Providers to offer computing power and Consumers to rent computing power.

2.2 Restrictions

  • No Reverse Engineering: You may not modify, decompile, or reverse engineer the NextGPU Agent.
  • Prohibited Use: You may not use NextGPU for illegal or fraudulent activities.
  • No Unauthorized Access: Attempts to bypass restrictions or tamper with the NGPU Agent are strictly prohibited.

3. Provider Obligations

3.1 System Eligibility & Verification

  • Providers must install the NGPU Agent for system verification.
  • The NGPU Agent benchmarks the system and determines eligibility.
  • Misrepresenting system specifications may result in suspension.

3.2 Availability & Usage

  • Providers must keep their PPC online as per declared availability.
  • Unplanned downtime outside allowable limits may incur penalties.

3.3 Security Compliance

  • The NGPU Agent performs periodic performance and security checks.
  • Tampering with benchmarks or system resources may lead to permanent suspension.

4. Consumer Obligations

4.1 Payment & Transactions

  • Consumers must purchase NGPU Tokens to rent computing power.
  • Payments via smart contracts cannot be reversed after a session starts.

4.2 Fair Usage Policy

  • No overclocking, piracy, or illegal activities.
  • Exceeding fair usage limits may lead to restricted access.

4.3 Data & Privacy

  • Consumers are responsible for their own data security.
  • NextGPU does not guarantee recovery after session termination.

5. Payment & Fees

5.1 Transactions

  • Consumers: Payments via NGPU Tokens, Ethereum, or other supported methods.
  • Providers: Earnings credited in NGPU Tokens.

5.2 Refunds & Cancellations

  • No refunds after a session starts.
  • Cancellations before session start may allow partial refunds.

6. Security & Compliance

6.1 Account Protection

  • Users must secure their Web3 wallets.
  • Compromised wallets are the user's responsibility.

6.2 Monitoring & Audits

  • NextGPU may monitor PPCs for performance and security compliance.
  • Logs may be audited for service improvement and compliance checks.

6.3 Prohibited Activities

  • Hacking, bots, or automated renting are prohibited.
  • Manipulating performance metrics results in permanent ban.

7. Termination & Suspension

7.1 Grounds for Termination

  • Violation of this EULA
  • Fraudulent activities
  • Exploiting vulnerabilities

7.2 Effect of Termination

  • Providers: Active rentals revoked, pending earnings may be withheld.
  • Consumers: Remaining NGPU Tokens are non-refundable.

8. Limitation of Liability

  • Not responsible for outages, system failures, data loss, or third-party breaches.
  • Maximum liability: Limited to payments/earnings in the past 3 months.

9. Governing Law & Disputes

  • Governed by the laws of the country where services are used.
  • Disputes resolved through arbitration in the International Court of Justice.

10. Miscellaneous

10.1 Amendments

  • NextGPU may modify the EULA at any time. Continued use means acceptance.

11. Acceptance

By downloading, installing, or using the NextGPU Agent or by accessing any part of the NextGPU Platform, you signify that you have read, understood, and agreed to be bound by this End-User License Agreement. If you do not agree to these terms, do not use the Platform or the Agent.
